Terms and Conditions

These Terms and Conditions ("Terms") govern all services provided by Prodigital Solutions (Pty) Ltd ("the Company", "We", "Us", or "Our") to clients ("You", "the Client") and form a legally binding agreement upon acceptance of our services or payment of a deposit. These Terms operate alongside, and do not replace, our Privacy Policy and Cookie Policy.

Agreement Acceptance

By engaging with Prodigital Solutions (Pty) Ltd, You agree to be bound by these Terms. All project quotations, acceptance emails, written confirmations, and payment deposits serve as confirmation of agreement.

Project Deposits and Payments

  • A deposit of 30% is required before any project begins.
  • Local payments are accepted via EFT. International payments must be made via PayPal (either EFT into our PayPal account or through the PayPal gateway).
  • Non-payment beyond 30 days will result in a cancellation notice. After 90 days, your account and associated services may be removed from all hosting platforms.
  • All invoices are payable in the currency stated on the invoice. International clients are responsible for any currency conversion fees or PayPal charges.

Project Scope and Changes

Once the project scope, deliverables, and pricing are agreed upon and work has commenced:

  • Any additional requests or features outside the original scope will be quoted separately.
  • All extra work will be charged at R220/hour unless otherwise agreed in writing.
  • Scope changes may affect delivery timelines.

Reviews and Revisions

  • Design concepts: Up to 2 revision cycles included.
  • Website development: Up to 3 review rounds before final approval.
  • Additional revisions beyond these limits will be billed at R220/hour.

Hosting and Cancellation Policy

All hosting services require one calendar month’s written notice for cancellation.

If hosting was paid for a full year upfront:

  • Cancel within the month before 3 months: 75% refund
  • Cancel within the month before 6 months: 50% refund
  • Cancel within the month before 9 months: 25% refund
  • After 9 months: No refund

No automatic reinstatement or cancellation fees apply unless contractually agreed. Reinstatement of suspended hosting may require a setup fee depending on the hosting provider’s policies.

Project Handover and Third-Party Hosting

For clients not hosting with us:

  • Website handover is only completed upon client approval of all changes and full payment of outstanding balances.
  • Prodigital Solutions (Pty) Ltd is not responsible for any post-handover issues, including software conflicts, plugin failures, or hosting-related errors.
  • Clients will receive instructional videos for managing their site content independently.
  • Post-handover support is available at R220/hour upon request.
  • Compatibility with third-party hosting environments is not guaranteed.

Maintenance Services

  • Month-to-month maintenance packages are available upon agreement.
  • Content edits, bug fixes, or minor changes post-delivery are billed at R220/hour.
  • Maintenance does not include redesigns, new features, or major structural changes unless quoted separately.

Intellectual Property and Ownership

  • All designs, source code, graphics, and deliverables remain the property of Prodigital Solutions (Pty) Ltd until full payment is received.
  • Prodigital Solutions (Pty) Ltd reserves the right not to hand over the website if hosting is declined or payment is incomplete.
  • Upon full payment, the client receives all rights to the final website for use and modification.
  • Licenses for premium themes, plugins, or software remain subject to the terms of their respective providers.

Liability and Limitations

  • Prodigital Solutions (Pty) Ltd will not be held liable for third-party server issues, changes made by clients post-handover, or any direct, indirect, or consequential damages arising from such changes.
  • We are not responsible for downtime, data loss, or security breaches caused by third-party hosting providers or client-managed environments.
  • Clients hosting on external servers must provide sufficient access for setup. Assistance with incompatible servers may incur additional fees.
  • We do not guarantee specific business outcomes, revenue increases, or search engine rankings.

International Clients

For clients located outside South Africa, including Canada and the United States:

  • Services are provided remotely and digitally.
  • Local consumer protection laws may grant additional rights; however, service delivery remains governed by South African commercial law unless otherwise required by mandatory local legislation.
  • Cross-border data transfers are handled in accordance with our Privacy Policy.

Severability

If any part of these Terms is found to be invalid or unenforceable, the remainder shall remain in full force and effect.

Governing Law

These Terms shall be governed by the laws of the Republic of South Africa. However, where required by applicable local law (such as Canadian federal consumer protections), additional rights or remedies may apply to the Client. Any dispute shall be resolved under the jurisdiction of South African courts unless otherwise required by mandatory local law.
